The present general terms and conditions of sale apply to the purchase of products by users qualifying as 'consumers' (i.e., individuals who purchase one or more products for purposes not related to their entrepreneurial, commercial, artisanal, or professional activity, pursuant to and for the purposes of the so-called "Consumer Code") through the e-commerce website www.singolare.it, owned and operated by "First srl" (VAT number IT07915611219), headquartered in Naples, at Corso Giuseppe Garibaldi, 238 (hereinafter referred to as Singolare), which deals with the sale of products as the 'seller.' Any communication from the consumer connected and/or related to the purchase of the products – including any reports, complaints, requests concerning the purchase and/or delivery of the same, the exercise of the right of withdrawal, etc. – must be sent to the seller at the addresses and in the manner indicated on the website www.singolare.it and, in any case, to the email address info@singolare.it.

Each purchase is governed by these general terms and conditions of sale in the version published on the aforementioned Website at the time of transmission of the order by the consumer.

If one or more sales are made to a subject not qualifying as a consumer within the meaning of the aforementioned legislation and specified above, i.e., by a professional – defined as any natural or legal person who places an order in the exercise of their entrepreneurial, commercial, artisanal, or professional activity – these general terms and conditions of sale shall nevertheless apply, but, contrary to what is provided for therein:

(a) the non-consumer buyer shall not be granted the right of withdrawal as provided for in the shipping and returns section, and in the event of disputes, the so-called consumer forum referred to in the subsequent art. 8 shall not be competent;

(b) the non-consumer buyer shall not be entitled to the product warranty as set forth below;

(c) the non-consumer buyer shall not be granted any other protections, provided here in favor of the consumer, which reflect or are in line with mandatory legal provisions;

(d) the sales contract concluded between the seller and the buyer shall be governed by Italian law, with the exclusion of the United Nations Convention on Contracts for the International Sale of Goods – Vienna Convention of 1980.

Upon transmission of the purchase order, the Consumer accepts that the confirmation of the information regarding the order placed, which will also contain the link to these general terms and conditions of sale, will be sent to him/her via email to the address declared during registration on the aforementioned website or during the purchase process.

In order to make purchases through the website www.singolare.it, the buyer must be of legal age (over 18 years old).

The Seller reserves the right to modify these general terms and conditions of sale at any time, at its discretion, without the need to provide any prior notice to users of the website singolare.it. Any changes made will be effective from the date of publication on the aforementioned Website and will apply exclusively to sales concluded from that moment onwards.

2. PRODUCT CHARACTERISTICS

The products sold by Singolare through the aforementioned Website are the products listed in the electronic catalog published on singolare.it at the time of the buyer's order placement and are sold with the characteristics described on the aforementioned Website and according to these general terms and conditions of sale in the version published on the Website itself at the time of order submission, to the exclusion of any other condition or term. Singolare states that the images and descriptions of the products published on the Website reproduce as faithfully as possible the real characteristics of the products themselves. It is understood that such images and descriptions may not be perfectly representative of the products and must therefore be considered as indicative and with usage tolerances.

The products for sale on singolare.it, the prices and/or their characteristics are subject to change without notice. Before submitting the purchase order under the following point 3, the buyer is invited to verify the final selling price. It is also noted that the prices indicated in the electronic catalog published on singolare.it are inclusive of VAT.

3. PRODUCTS PURCHASE PROCEDURE – CONCLUSION OF EACH INDIVIDUAL PURCHASE CONTRACT

The presentation of products on singolare.it, not binding for the seller, represents a mere invitation addressed to the consumer to make a contractual purchase proposal and not a public offer pursuant to art. 1336 of the Italian Civil Code, with the full discretion of the seller to accept any proposals made. The purchase order submitted by the buyer to the seller through the singolare.it Website constitutes a contractual proposal and is governed by these general terms and conditions of sale, which constitute an integral part of the order itself, and which the buyer, by submitting the order to the seller, is required to accept fully and without reservation. Before proceeding with the purchase of the products, by submitting the purchase order, the user will be asked to carefully read these general terms and conditions of sale and the information on the right of withdrawal, and in this regard, the user/buyer is invited to print a copy thereof or to save or reproduce a copy for their personal use. The purchase order is accepted by the seller by sending to the buyer, to the email address provided by him/her at the time of registration on the singolare.it Website or at the time of order submission (in case of non-registration on the Website), an email confirming the submitted order and with which Singolare, after verifying the actual payment of the goods, will send the summary of the order placed and the description of the characteristics of the ordered product. The buyer expressly accepts that the execution of the contract by the seller will commence upon crediting the price of the product(s) purchased to the seller's bank account. Each purchase contract for the products shall be deemed concluded when the buyer receives the order confirmation from the seller via email as specified above. The buyer's order, the seller's order confirmation, and the general terms and conditions of sale applicable to the relationship between the aforementioned parties will be electronically archived by the seller in its computer systems (for 26 months), and the user may request a copy thereof by sending an email communication to the seller at the address info@singolare.it. The price of the products is the one indicated on the singolare.it website at the time of the buyer's order placement. Prices include standard packaging costs, VAT (if applicable), and any indirect taxes (if applicable). If you buy with Scalapay, you receive your order immediately and pay in 3 installments. Note that the installments will be assigned to Incremento SPV S.r.l., related parties, and their assignees, and you authorize such assignment.

4. PRODUCT SELECTION AND PURCHASE PROCEDURE

The purchase of products on the Website can be made directly without prior registration. Registration on the site is free and will entitle you to access special promotional conditions for future orders, to check your order history, and to manage your personal data. To register on the singolare.it website, the user must fill out and submit the appropriate form by entering the required data (e.g., name, surname, address, email, and phone number). Registration will then be confirmed by sending a confirmation email. Registration credentials must be used by the user only and cannot be transferred to third parties, with the user undertaking to keep them confidential. The user guarantees that the personal information provided during the registration process on the aforementioned Website is complete and truthful and agrees to hold Singolare

 harmless and indemnified from any compensation obligation and/or sanction and/or damage that Singolare may incur due to the user's violation of the rules governing registration on the aforementioned Website and the purchase of products thereon. The products presented in the catalog of the singolare.it Website can be purchased by selecting them and adding them to the appropriate virtual shopping cart. After selecting the desired products, to proceed with the purchase of the products placed in the cart, the buyer will be asked to: (a) register on the singolare.it Website, providing the required data, or (b) log in, if already registered, or (c) simply provide their data in order to complete the order and proceed with the conclusion of the contract. If the data indicated in the order differs from that provided during registration on the Website, the buyer must confirm their data (indicating, for example, their name, surname, etc.), as well as the delivery address of the selected products (and possibly the different name of the recipient, if different from the buyer), the billing address, and a phone number where they can be contacted for any communications related to the purchase made. The buyer can then view a summary of the order to be placed, which can be modified, and finally will be asked to proceed with the purchase, which will thus be definitively submitted to the seller. The buyer will also be asked to choose the payment method from those available. If the buyer chooses the immediate payment method by credit card or PayPal, he/she will be required to provide the relevant data, via a secure connection. Singolare does not have access to or store the credit card details used for product payment, and if payment is made through the PayPal system, the buyer will be redirected directly to www.paypal.it and will make the payment according to the procedure provided and regulated by PayPal, to which reference is made, specifying that the data entered on that site will be processed directly by the latter. Alternatively, the user can opt: (a) for payment by bank transfer, in which case, instructions and Singolare's bank details will be provided at the time of purchase; (b) for payment upon delivery, in which case, the balance of the goods must be paid exclusively in cash: the courier will not accept any type of check.

5. SELLER'S LEGAL WARRANTY OF CONFORMITY, REPORTING OF NON-CONFORMITIES, AND WARRANTY INTERVENTIONS

Pursuant to and for the purposes of European Directive 44/99/EC, Legislative Decree 206/2005 and subsequent amendments (the so-called Consumer Code), the seller guarantees the buyer that the products will be free from design and material defects as well as compliant with the descriptions published on the singolare.it Website for a period of 2 (two) years from the date of delivery of the products. Any warranty is excluded in case of use of the product not conforming to that proper of the product and to the instructions/warnings provided by the seller or indicated in the reference illustrative documentation, on labels or tags. The consumer may report any defects and non-conformities by sending a communication to the email address info@singolare.it, and in addition to the defect and/or non-conformity, must attach the relevant photographic documentation. Following receipt of the request and the related documentation, the seller will verify and assess, through appropriate checks, the defects and non-conformities thus reported. The consumer shall be entitled to repair or replacement of the product, where this is possible considering the availability of the product, and unless the replacement or repair is excessively burdensome for Singolare considering the value that the product would have if there were no conformity defect, the extent of such defect, and the possibility that the alternative remedy can be carried out without significant inconvenience to the consumer.

If the seller is required to refund the consumer the price paid, the refund will be made, if possible, by the same payment method used at the time of purchase or by bank transfer. It will be the responsibility of the consumer to communicate to the seller, when requesting the return or via email to info@singolare.it, the bank details for the execution of the transfer in his/her favor.

6. CONSUMER DATA AND PRIVACY PROTECTION

In order to proceed with registration, order submission, and thus the conclusion of the contract, the buyer must provide certain personal data requested through the singolare.it Website, which will be recorded and used by the Seller in accordance with and in compliance with the regulations of Legislative Decree no. 196/2003 and subsequent amendments (the so-called Privacy Code) to execute each purchase made through the Site and, subject to his/her consent, for any further activities as indicated in the specific privacy information provided through the Site. For any further information on the processing of personal data, reference is made to the Privacy Policy and Cookie Policy sections, which the buyer declares to have read and accepted together with these General Terms of Use.

7. COPYRIGHT

All texts, images, and trademarks appearing on the website www.singolare.it are protected by copyright laws and intellectual property laws, therefore, any unauthorized use will be prosecuted pursuant to and for the purposes of current legislation. The user who has a personal website on the Internet and wishes to insert, for personal use, on his/her website a direct link to the singolare.it website homepage, must request authorization from Singolare and, in this case, it will not be considered an implicit affiliation contract. Furthermore, any hypertext link to the singolare.it website, using the framing, deep-linking, in-line linking technique, or any other deep linking technique, is in any case prohibited.

8. APPLICABLE LAW AND COMPETENT COURT

The contract concluded between the seller and the consumer pursuant to these sales conditions will be governed and interpreted in accordance with Italian law and, in particular, Legislative Decree no. 206/2005. Disputes between the seller and the consumer arising from the contract between them thus governed will be referred to the judge of the place of residence or domicile of the consumer, in the sense indicated and referred to in the consumer code, if located within the territory of the State. In all other cases, jurisdiction shall be exclusively devolved to the Court of Naples."
